SOUTHLAKE, Texas, Aug. 21, 2026 (GLOBE NEWSWIRE) -- American Fusion Inc. (OTC: AMFN) (“American Fusion” or the “Company”), developer of the proprietary Texatron™ Fusion Engine™, has been approved by OTC Markets Group to trade on the OTCQB Venture Market. The Company’s common stock will commence trading on OTCQB under its existing ticker symbol, AMFN, effective Friday, August 21, 2026.
The approval completes a months-long process undertaken by American Fusion to advance from the OTCID market to OTCQB and follows completion of the final outstanding requirement in that process: FINRA’s processing of the Form 211 submitted by Alpine Securities Corporation (“Alpine”), the Company’s sponsoring market maker, pursuant to Rule 15c2-11 under the Securities Exchange Act of 1934.
American Fusion became an SEC-reporting issuer following effectiveness of its Form 10 registration statement in May 2026 and has continued to build its reporting, governance and capital-markets infrastructure. Advancement to OTCQB represents the next step in that progression and an important component of the Company’s longer-term objective of qualifying for a national securities exchange.
What OTCQB Means for American Fusion
The OTCQB Venture Market is operated by OTC Markets Group for entrepreneurial and development-stage U.S. and international companies. Among other requirements, OTCQB companies must maintain current reporting, undergo annual verification and management certification, meet applicable bid-price and public-float requirements, maintain a minimum number of beneficial shareholders, utilize a transfer agent participating in OTC Markets Group’s Transfer Agent Verified Shares Program, and have proprietary priced quotations published by a market maker on OTC Link ATS.
American Fusion’s completion of the Form 211 process represents a significant change in the quotation status of its common stock. Prior to completion of that process, AMFN was not eligible for proprietary broker-dealer quotations and quotation activity was limited to unsolicited customer orders. With the Form 211 process completed, Alpine may publish proprietary bid and ask quotations in AMFN common stock, and other broker-dealers may become eligible under applicable Rule 15c2-11 provisions to publish competing proprietary quotations and provide additional market-making activity.
OTC Markets Group notes that securities limited to unsolicited quotations can experience wider spreads, increased volatility, price dislocations and difficulty selling, while an initial review under Rule 15c2-11 enables brokers to publish competing quotations and provide continuous market making. OTC Link ATS provides a centralized venue through which market makers publish quotations and compete for orders, supporting price transparency and more efficient trading.
American Fusion therefore believes its advancement to OTCQB, combined with proprietary quote eligibility, has the potential over time to broaden market-maker participation, enhance price transparency, support more efficient order flow and improve the overall trading environment for AMFN shareholders. The Company makes no prediction or assurance regarding the number of market makers that will ultimately quote AMFN, future trading volume, liquidity, spreads or share price.

Capital Formation and a Debt-Free Financing Strategy
American Fusion has funded its operations and Texatron™ development program to date through equity capital rather than conventional or convertible debt financing. The equity capital raised by the Company has been used to support engineering and testing, intellectual property development, regulatory and public-company expenses, personnel and the Company’s ongoing operating requirements.
The Company currently has no convertible notes or other so-called “toxic” convertible debt outstanding and has sought to avoid financing structures that can result in variable-price conversions and potentially significant dilution to existing shareholders.
American Fusion believes advancement to OTCQB, improved quotation infrastructure and continued execution of its operating plan may broaden the universe of investors and financial institutions with which the Company can engage as it evaluates future capital requirements. The Company intends to continue emphasizing equity-based financing structures it believes appropriately balance the Company’s capital requirements with the interests of its shareholders.
Advancing Commercial Discussions
As the Company continues testing and engineering validation of the developed Texatron™ Fusion Engine™, American Fusion is also beginning to advance its prospective commercial strategy.
The Company is actively engaged in discussions with potential counterparties regarding prospective offtake arrangements and Power Purchase Agreement (“PPA”) proposals for future Texatron™-generated electricity. These discussions remain preliminary, and no definitive offtake agreement or PPA has been executed. Any future commercial arrangement would remain dependent upon successful completion of the Company’s testing and validation program, commercialization of the Texatron™ platform, applicable regulatory requirements, financing and other customary conditions.
American Fusion expects to provide additional information regarding these commercial initiatives as discussions advance and material developments occur.

A Step Toward a National Securities Exchange
American Fusion views OTCQB as an important intermediate step in its broader capital-markets strategy rather than its ultimate objective.
As previously disclosed, the Company has engaged Lucosky Brookman LLP as securities and capital markets counsel with a mandate that includes preparation of a new registration statement with the U.S. Securities and Exchange Commission, related due diligence and SEC comment responses, and the Company’s planned future application for listing on a national securities exchange.
The Company intends to evaluate the Texas Stock Exchange (“TXSE”) and the Nasdaq Capital Market, among other potential national exchange venues. American Fusion believes its Texas domicile, Texas headquarters and Texas-based Texatron™ engineering and testing activities provide a natural basis for evaluating TXSE as that market develops.
A national exchange listing requires satisfaction of separate financial, governance, distribution, share-price and other listing standards and remains subject to regulatory and exchange review and approval. No determination regarding a future listing venue has been made, and there can be no assurance that the Company will qualify for or complete a national exchange listing.
International Capital Markets Strategy
Separately, American Fusion continues to pursue its previously disclosed objective of establishing a secondary quotation or listing of its common stock in Frankfurt as part of the Company’s strategy to broaden its exposure to European investors and capital markets.
The Frankfurt initiative is intended to complement, rather than replace, the Company’s U.S. market strategy. The Company believes establishing a European market presence could provide additional access to European institutional and retail investors while supporting American Fusion’s developing relationships with potential European industrial, energy and supply-chain partners.
Any Frankfurt listing or quotation remains subject to applicable regulatory, market and eligibility requirements, and there can be no assurance regarding its completion or timing.
