What is the Investigation About?

On May 28, 2026, before the market opened, Morpheus Research published a report questioning Innventure's announced agreement involving its subsidiary Accelsius and DarkNX for a 300-megawatt AI data center campus in Ontario, Canada. The report alleged that there was no evidence the project existed or that DarkNX had the personnel or funding to support it.

Following this news, the price of Innventure stock fell $0.54 per share, or 8.42%, to close at $5.87 per share on May 28, 2026.

On August 13, 2026, after the market closed, Innventure suspended its previously communicated 2026 revenue and cash flow expectations for Accelsius. In a Form 10-Q filed that day, Innventure disclosed that the deployment site identified in the DarkNX purchase order was no longer available. Accelsius had removed the project from its internal bookings pending identification of an alternative location and satisfaction of other conditions.

Following this disclosure, Innventure stock fell $1.98 per share, or 55%, to close at $1.62 per share on August 14, 2026.
